Terms of Service

1. The service

SlopGrade is a CI security gate: a GitHub Action and hosted service that check each pull request and pass or block it against a catalog of vulnerability classes (cross-tenant leaks first). It also offers a code-analysis API (the Deep Scan API) and a deterministic text-quality grader (SlopScore). A text grade is not an AI-authorship detector, legal or medical advice, an employment decision system, or an academic-integrity ruling — it is quality feedback, not a statement about a person.

2. Definitions

• “Service” — slopgrade.ai, app.slopgrade.ai (including its API at app.slopgrade.ai/api), the SlopGrade GitHub Action and App, and related SlopGrade clients.
• “You” — the individual or entity using the Service.
• “we / us” — Maxor Global LLC.

3. Eligibility & accounts

You must provide accurate account information and keep access to your email and GitHub account secure. You are responsible for activity under your account and your API keys. You must be legally able to enter a contract in your jurisdiction (typically 18). The public grade on slopgrade.ai works without an account; everything else needs a free account (email link, one-time code or GitHub, no card).

4. Acceptable use

• No attempts to break security or bypass rate limits, quotas or plan limits; no malware; no illegal content.
• Send code to the deep scan or the Deep Scan API only if you have the right to do so.
• No bulk processing that violates third-party rights or these terms.
• Do not misrepresent grades as legal, medical, compliance, employment, or academic-integrity certifications.
• Do not use the Service to make automated decisions that produce legal or similarly significant effects about a person solely from a SlopScore.

5. Plans, billing & free tier

The Free plan — the grader, advisory findings on your repositories, and blocking on the open-source classes for one private repository and every public repository, within its stated limits — is described on the pricing page.

• Solo — for one person: USD 49 a month or USD 490 a year, one user, 10 private repositories included, then USD 4 a month (USD 40 a year) per additional private repository, up to 50 in total.
• Team — USD 299 a month or USD 2,990 a year, unlimited users; includes 50 private repositories, then additional private repositories at the graduated price on the pricing page.
• Both paid plans include every blocking class and a monthly Deep Scan API allowance, stated on the pricing page.
• Enterprise — volume pricing on invoice, SSO on request, a service level and a no-retention contract — is governed by a separate written agreement, which prevails over these terms where they differ.
• The per-repository Firewall plan is no longer sold. An existing Firewall subscription keeps the Firewall rules below until it ends.

Paid plans renew monthly or yearly, as chosen at checkout; the price shown at checkout applies to that subscription. Fees are in USD. Taxes may apply. An annual plan cancelled within 30 days of its payment is refunded in full, and we remind you 30 days before each annual renewal. Deep Scan API usage billing is opt-in from a signed-in session on a paid plan: once on, you are billed per file analysed past the monthly allowance, at the price and up to the monthly cap stated on the pricing page; a file the engine did not answer is never billed. It is charged on a separate monthly invoice on the 1st for the previous month, whatever the billing cycle of your plan. Turning it off returns you to the allowance at once; usage already consumed is billed on a final invoice. Other fees already paid are non-refundable except where mandatory consumer law (including EU 14-day withdrawal for distance contracts, where it applies) requires otherwise.

6. Trials, changes, cancellation and non-payment

• Solo and Team trial: 14 days, no card, one trial per account and per GitHub account — a trial already used on either plan counts. One paid plan at a time: you cannot start a second plan while one is live or in trial.
• If a Solo or Team trial ends without a card, the subscription is paused and the whole account is locked — including Free features and the gate on public repositories — until the plan is paid; the billing pages stay open.
• Increases (more repositories, Team extras, monthly to yearly) are prorated and charged at once; if that payment fails, the change is not applied. Decreases take effect without a credit, not within 24 hours of an increase and never below the repositories in use.
• Cancelling Solo or Team: the subscription ends at the end of the paid period (or at once with a full refund under the 30-day annual refund).
• Existing Firewall subscriptions: buying Solo or Team ends the Firewall subscription with a prorated credit; cancelling Firewall: the subscription ends at once, the gates stop, and the unused time is not credited (except under the 30-day annual refund).
• If a payment fails, Stripe retries it. Solo and Team access stops when the subscription becomes unpaid. Firewall gates keep working for up to 14 days after the end of the unpaid period, then stop.
• A full refund of a charge, or a chargeback decided against us, ends your Firewall subscriptions.
• Deleting your account ends every subscription at once, with a final invoice for usage already consumed and no refund.

7. Agent payments (passes bought by an AI agent)

• An AI agent can pay for SlopGrade itself, without a subscription, through the payment protocol described in our agent documentation. A Solo pass costs USD 49 and a Team pass USD 299; each gives that plan to the paying agent's account for 30 days and does not renew. Buying a pass again for the same plan adds 30 days.
• Card payments are processed by Stripe. Other payment rails, when offered, are named in the agent documentation with their own rules.
• A pass is delivered once, to the account linked to the agent that paid. If it cannot be delivered — the paying agent has no account, or the account already holds a Solo or Team subscription paid through Stripe — a card payment is refunded in full, once, to the card that paid — automatically, or by us by hand when the daily limit on automatic refunds is reached. A payment on another rail that cannot be delivered is refunded by us on request to legal@slopgrade.ai.
• A delivered pass is not refundable, except where mandatory consumer law requires otherwise.

8. API, keys and limits

API keys carry a scope: grade, ci, mcp, deepscan or full (full does not include deepscan). You can hold up to 50 active keys. Rate limits are 60 requests per minute per limit (per IP address, account, key or repository, depending on the endpoint) and are the same for every plan; we may change them to protect the Service. Hosted grading on the Free plan is limited to the monthly word allowance on the pricing page; grading in the CLI and the GitHub Action runs locally and is not counted. Every score states the formula version that produced it. Embedding the score in a paid product requires our written commercial licence.

9. Intellectual property

We own SlopGrade, the brand, UI, the analysis engine, the closed-source detector packs, and the scanning and scoring software. The open-source GitHub Action is licensed under its own licence (MIT). You retain all rights to your code, CI results and text. You grant us a limited license to process them solely to provide the Service.

10. Disclaimer

THE SERVICE IS PROVIDED “AS IS”. WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY LAW. Grades may be imperfect; use judgment before publishing or making decisions. A passing CI verdict means nothing blocked the merge under your plan; it does not mean the code has no finding. Advisory findings, classes still in calibration and findings below the reliability threshold are reported without blocking, and if our service cannot answer, the gate fails open (it does not block). The deep scan reports findings, “no flow proven” or “inconclusive”, never “clean”. A pass is a result, and it is not a guarantee that your code is free of vulnerabilities; it does not replace your own security review.

11. Limitation of liability

To the maximum extent permitted by law, Maxor Global LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits/data. Our aggregate liability for claims relating to the Service is limited to the greater of (a) amounts you paid us in the 12 months before the claim or (b) USD 50 for free use. Mandatory consumer protections in your country are not waived.

12. Termination

You may stop using the Service at any time and delete your account yourself. We may suspend or terminate access for breach, abuse, non-payment, or legal risk. IP, disclaimers, liability, and governing-law sections survive termination.

13. Changes; assignment

We may update these terms. Material changes will update the “Last updated” date. We may assign this agreement in connection with a reorganization or sale of assets. You may not assign without our consent.

14. Governing law

These terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless mandatory consumer protections in your country apply. Courts in Delaware have exclusive jurisdiction for disputes, subject to those protections.
